William Elster filed his complaint on June 5, 1975 alleging jurisdiction under Section 27 of the Securities Exchange Act of 1934, as amended, 15 U.S.C. § 78a, et seq., and pendent jurisdiction. At that time, plaintiff owned 25 shares of TriSouth Mortgage Investors stock which he had bought June 29,1973 for $840.47. TriSouth Mortgage Investors (a trust) (hereinafter “Trust” or “TSMI”) was then an Internal Revenue Service qualified real estate investment trust engaged in investing principally in short-term first mortgage…
