MEMORANDUM OPINION AND ORDER

SPRIZZO, District Judge.

Sevel Argentina, S.A. (“Sevel”) brings this action against General Motors Corporation and General Motors Overseas Distribution Corporation (“GMODC”) (collectively, “GM”) alleging damages from the breach of various contracts and implied covenants, and, in the alternative, asserting claims for quantum meruit and unjust enrichment. 1 Pursuant to Fed.R.Civ.P. 56, GM moves for summary judgment, arguing, inter alia, that Sevel’s claims are mer-itless and contradicted by the express terms of the relevant contracts and documents.
