MEMORANDUM AND ORDER ON CROSS-MOTIONS FOR SUMMARY JUDGMENT WITH RESPECT TO TERMINATION CHARGE

These motions arise in a contest over proceeds from the sale of the Debtor’s assets. In June, 1987, an order authorizing the sale of substantially all of the Debtor’s operating assets was entered. The order contemplated that all debts secured by the assets would be paid in full from the proceeds. The Defendant, Barclays American/Business Credit, Inc.
