Plaintiff was insured under a professional malpractice liability insurance policy issued by defendant to plaintiff’s former law firm, Sitomer, Sitomer & Porges. As an associate of that firm, plaintiff had been assigned to prepare a registration statement and prospectus for the public offering of stock by a client, for filing with the Securities and Exchange Commission (S.E.C.).
