I. INTRODUCTION

Royal & Sun Alliance Insurance, PLC (“RSA”) brings this action on behalf of its subrogee, Ethicon, against UPS Supply Chain Solutions, Inc. (“UPS”), Rogers Transportation Management Services, Inc. (“Rogers”), and Onley Insurance Agency (“Onley”). RSA asserts claims for breach of contract, breach of bailment obligations, breach of fiduciary duty, and deceptive business practices.
