RANDOLPH, Circuit Judge:

This appeal arises out of ongoing grand jury proceedings. The grand jury is investigating violations of federal election laws. The record is sealed. The appellant is a corporation, which we shall call the “Company.” The Company refused to produce two subpoenaed documents, for which it was held in contempt. One of the documents is a memorandum from a Company vice president to the president, with a copy to the Company’s general counsel.
