I. BACKGROUND

Plaintiff, Tingley Systems, Inc. (“TSI”) is a Florida corporation which creates, supports and distributes computer software for the health care management organization industry. TSI’s software is copyrighted and registered with the United States copyright office. Defendant, Bay State HMO Management, Inc. (“Bay State”), is a Massachusetts corporation that operates a health maintenance organization.
