AMENDED MEMORANDUM OPINION

This matter comes before the Court on the motion of NCNB National Bank of North Carolina (“NCNB”) for partial summary judgment as to Count I of the complaint pursuant to Federal Rule of Civil Procedure 56 and Federal Rule of Bankruptcy Procedure 7056. For the reasons set forth herein, the Court having reviewed the pleadings, the exhibits attached thereto and the affidavits, hereby denies the motion.
