The plaintiff instituted this action claiming that the defendants were personally liable for a debt due and owing for printing services provided by the plaintiff to Old Guilford Forge, Inc. The issues of this appeal are whether the corporation was a de facto corporation during the time the debt accrued, and whether the plaintiff was estopped to deny its existence as a de facto corporation. From the judgment rendered in favor of the defendants, the plaintiff has appealed.
