This appeal challenges the district court’s dismissal with prejudice of the appellant’s third amended and consolidated complaint.1 In essence, this is a shareholder derivative and class action suit asserting that the directors and officers of First Chicago Corporation (“FCC”) and First National Bank of Chicago (“FNBC”) have egregiously mismanaged the affairs of the corporations.
