MICHAEL J. DAVIS, District Judge.

I. INTRODUCTION

This matter is before the Court on Defendants’ motion to dismiss Plaintiffs counterclaims-in-reply. For the following reasons, the Court DENIES Defendants’ motion to dismiss.

II. BACKGROUND

Plaintiff brought this lawsuit against Defendants claiming breach of contract, tor-tious interference with a contract, promissory estoppel, equitable estoppel, and seeking a declaratory judgment.
