SHEDD, Circuit Judge:

Carolina Casualty Insurance Company (“Carolina Casualty”) filed this diversity action seeking to rescind the professional liability insurance policy it issued to Draper & Goldberg, PLLC (“D & G”), a Virginia law firm also practicing in Maryland, Delaware, and the District of Columbia. Carolina Casualty claims that D & G made material misrepresentations in its application for “Lawyers’ Professional Liability Insurance” by failing to divulge approximately 500 lawsuits filed against it.
