This is a representative action brought by plaintiff to compel the defendants to account for their acts as directors and liquidating trustees of the Chandler-Cleveland Motors Corporation. The defendant Rosenthal moved to dismiss the complaint on the ground that the court has no jurisdiction of the subject of the suit and that the complaint fails to state a good cause of action. The complaint was dismissed on both grounds.
