FRIENDLY, Circuit Judge:

The issues on this appeal from an order of the District Court for the Eastern District of New York dismissing an action under § 10(b) of the Securities Exchange Act and the SEC’s Rule 10b-5 are whether the complaint alleged a claim within that court’s subject-matter jurisdiction and, if so, whether the court properly dismissed the action because of an agreement of the parties that disputes between them should be decided by the competent court at Utrecht in the Netherlands in accordance with Dutch law.
