Plaintiff Daito International (“Daito"), a former distributor of defendant Bedrock Amplification, Inc. (“Bedrock”), filed this action to enforce a judgment *275entered in its favor by a Florida court.3 The judgment required defendants Bedrock and Jay Abend (“Abend”), the President of Bedrock, to pay Daito damages resulting from defendants’ breach of a Debt Acknowledgment Agreement.
