OPINION

TENNEY, District Judge.

This action was brought by Loria & Weinhaus, Inc. (“plaintiff”), a New York corporation, to recover commissions allegedly owed to it by H. R. Kaminsky & Sons, Inc. (“defendant”), a Georgia corporation. Defendant has moved for dismissal pursuant to Rule 12(b) of the Federal Rules of Civil Procedure, asserting lack of personal jurisdiction, lack of venue, and failure to state a claim.
