WATSON, District Judge.

This case is before the court for determination of motions to dismiss the complaint.

The plaintiff and the defendants, with the exception of the United States of America, are residents of the Commonwealth of. Pennsylvania.' This action was brought for the purpose of terminating a consent agreement between the plaintiff and the Eddington. Distilling Company, which provided that certain tax liens of the United States would be given preference over the lien of the plaintiff on various machines in the Eddington .Distilling Company plant.
