I. Introduction and Background

This is an action involving agreements for distribution of perfume products in Canada. Plaintiff Airs International, Inc. (“Airs”) alleges that defendant Perfect Scents Distributions, Ltd. (“Perfect Scents”) breached the parties’ 1993 distribution contract.
