WEINFELD, District Judge.
This litigation centers about the sale by minority shareholders of their stock in a one hundred per cent family-owned corporation, Schine Enterprises, Inc. (Enterprises). The plaintiffs, Martha R. Schine, Donald G. Schine and Dorene S. Higier, are the widow and children of the late Louis W. Schine, brother of the defendant, J. Myer Schine. The other named defendants are his sons, G.
