POLLACK, District Judge.

The parties to two consolidated actions brought by stockholders on behalf of Detroit Steel Corporation derivatively and of i class of certain of its stockholders representatively, have submitted a proposed settlement embracing all claims and issues arising from the pleadings herein.

On February 27, 1971, following an evidentiary hearing, it appeared to the Court that a sufficient showing of fairness and propriety of the proposed adjustment had been made to warrant a hearing on notice to all stockholders of the corporation and members of the affected class to determine…
