Plaintiffs, Michael L. Gurley and David W. Davis, sued Documation, Inc., S. Ray Halbert, Richard J. Testa, and the law firm of Testa, Hurwitz, and Thibeault, for securities fraud in violation of § 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b), as implemented by Rule 10b- -5, 17 C.F.R. § 240.10b-5. To this federal cause of action, plaintiffs appended state causes of action for common law fraud and breach of corporate fiduciary duties.
