Plaintiff-Appellant Brand Coupon Network, L.L.C. (“BCN”) appeals the district court’s dismissal of its claims pursuant to Rule 12(b)(6) of the Federal Rules of Civil Procedure. BCN sued Defendants-Appel-lees Catalina Marketing Corp. (“Catalina”) and three of its individual officers or employees, Pamela Samniego, Joe Henson, and L.
