PATTERSON, District Judge.

Defendants 1 Ronald S. Altbach (“Alt- bach”), Alfonso J. Cervantes (“Cervantes”), Chet Borgida (“Borgida”), Dennis Gougion (“Gougion”) and Richard L. Prochnow (“Prochnow”) move, pursuant to Rules 12(b)(6) arid (9)(b) of the Federal Rules of Civil Procedure, to dismiss the claims in a purported class action brought by lead plaintiffs, William Woodruff, Steven Haines and W.D.
