This action is before the court on the defendants’ motions to dismiss for lack of subject matter jurisdiction. The plaintiff brought this suit for an alleged breach of contract and wrongful conveyance. Plaintiff, the holder of a promissory note, claims that defendant Davidson (the general partner) and the limited partnership entity (not the limited partners) are liable for failing to pay over $677,000.00 on the note.
