MEMORANDUM OPINION AND ORDER

This matter is before the Court on the Motion of. Plaintiff The Valspar Corporation (“Valspar”) for a Preliminary Injunction (Doc. No. 55). For the reasons that follow, the Motion will be denied.1
BACKGROUND
This is a declaratory-judgment action in which Valspar seeks a declaration that its insurer, Defendant National Union Insurance Company of Pittsburgh, Pa.
