VANCE, Circuit Judge:

Appellee James Guy filed this declaratory judgment action in Florida state court seeking a determination of rights and damages arising from the withholding of medical benefits by the Southeastern Iron Workers’ Welfare Fund (“SEIWF” or “Fund”). After removal to the district court, the Fund filed a counterclaim seeking reimbursement for $74,701.84 in medical expenses incurred by appellee’s son Tommy.
