LASKER, District Judge.
This case concerns the rights of creditors of a corporation to seek compensation from participants in the sale of the corporation when the debt assumed by that corporation as a result of the sale renders it unable to meet its financial obligations. Certain defendants move to dismiss the complaint as to them.
