GRAY, Circuit Judge.

The. Salem Iron Company, the defendant "below, plaintiff in error here, is a corporation organized under the laws of the state of Pennsylvania, and has its furnace plant in the state of Ohio. Its principal office is at Pittsburg, Pa. In 1897 it was compelled to- reorganize, by an arrangement with its creditors, who took preferred stock for their claims. The.capital stock had been $50,000, and was increased to $247,000, of which $197,000 was preferred. The number of directors. was increased from three to seven, the majority of whom were to be nominees of the preferred…
