This case, which involves alleged violations of federal securities laws, 1 presents a question of first impression in this Circuit regarding the application of the “Lead Plaintiff’ provisions of the Private Securities Litigation Reform Act of 1995 (the “PSLRA” or the “Reform Act”). 2 The State of Wisconsin Investment Board (“SWIB”) seeks appointment as the sole Lead Plaintiff to represent the class of stock purchasers against CellStar Corporation, its officers and directors, and its auditor, KPMG Peat Marwick LLP.
