The plaintiff, Eastern Shore Marine, Inc. (hereinafter referred to as “ESM”) is an Alabama Corporation, having its principal place of business in Fairhope, Alabama. The defendant Duncan Aircraft Sales of *791Florida, Inc. (hereinafter referred to as “Duncan”) is Florida Corporation, having its principal place of business in the State of Florida. Duncan is a foreign corporation not qualified to do business in the State of Alabama, having failed to obtain a certificate of authority to transact business in Alabama from the Secretary of State.
