PICARD, District Judge.

Plaintiffs move this court, pursuant to Rule 54(b), F.R.C.P., 28 U.S.C.A. to invalidate a voting trust agreement while reserving judgment on damages and other related issues of fact raised by their complaint.

Findings of Fact.

All plaintiffs are stockholders of Monroe Paper Products Company, and plaintiff Kinsey is, in addition, a director. Defendants, Knapp, Blum, Raney, Leathers and Sempliner are directors and also trustees under the above voting trust agreement.
