The plaintiff, George W. Harris, a resident of Paullina, Iowa, was the owner of 100 shares (valued at $5,000) of the capital stock of the Farmers & Mechanics Bank of Spokane, Washington. The defendant H. L. Bills, a resident of California, was the owner of an 80-acre tract of land in Fergus County, Montana. Prior to July 14, 1923, correspondence was had between these parties with regard to an exchange of the respective properties. Nothing came from these preliminary negotiations.
