I. INTRODUCTION
Plaintiff, Agora, Inc. (“Agora”), a Maryland corporation with its principal offices in Baltimore, has brought this diversity action against defendants Financial-Web.com, Inc. (“F.com”), F.com’s predecessor, Axxess, Inc., and its wholly-owned subsidiary, Stock Detective.com, Inc.
