CARDONE, District Judge.

On this day, the Court considered Respondents’ Motion to Dismiss, or in the Alternative, Motion for Summary Judgment (“Motion”). For the reasons set forth herein, Respondents’ Motion is DENIED.

I. BACKGROUND
