MEMORANDUM OPINION AND ORDER
CONLON, District Judge.
Plaintiffs T.R.V. Holding Company and Seymour Specter bring this suit on behalf of all persons who owned shares of the Nuveen Municipal Value Fund, Inc. (“the NUV fund”) or the Nuveen Premium Income Municipal Fund, Inc. (“the NPI fund”) (collectively, “the Nuveen funds”) on November 8, 1993.
