McKELVIE, District Judge.

This is a commercial dispute that arises in the context of a bankruptcy action.

Stone & Webster Incorporated (“SWINC”) is a Delaware corporation with its principal place of business in Boston, Massachusetts. SWINC owns one hundred percent of the shares of its subsidiary, Stone & Webster Engineers and Constructors, Inc.
