MEMORANDUM OPINION AND ORDER
KAPLAN, District Judge.
This case is before the Court on cross-motions for partial summary judgment. For the reasons stated herein, both motions are granted in part and denied in part.

This is a suit to recover federal income taxes and interest paid by Dresser Industries, Inc. and its subsidiaries for the 1981-1987 tax years. 1 On February 28, 1994, the United States Tax Court determined that Dresser underpaid its taxes for 1980-1982 and assessed a deficiency of $22,385,-587.
