Plaintiff Madison River Management Company (“Madison”), a corporation organized in Delaware with its principal place of business in North Carolina, brings this action against Defendant Business Management Software Corporation (“BMS”), formerly known as BMS Corporation, a corporation organized in Delaware with its principal place of business in Denver, Colorado.
