I. INTRODUCTION
On June 19, 2009, Bay Isles Associates, LLP and David Band filed a motion to dismiss this action pursuant to Fed. R. Civ. P. 12(b)(6). Plaintiff *37Brett Jefferson filed an opposition on August 6, 2009, requesting the Court to deny Defendants’ Motion to Dismiss.
