MEMORANDUM OPINION
MORTON DENLOW, United States Magistrate Judge.
Plaintiff Caremark, Inc., through its former parent company, Baxter International, Inc. (“Caremark”), entered into a contract in 1992 with Affiliated Computer Services, Inc., (“ACS”) in which ACS agreed to provide Caremark with data processing and related services. The agreement was amended in 1996. In April of 1999, Caremark brought a breach of contract action in federal court under diversity jurisdiction alleging breach of the amended contract.
