This action was brought by William M. and Robert J. Lowry against William H. Inman, to charge the defendant with liability for bills of a bank in Georgia, of which he was a stockholder. I. Demurrer to complaint.

This action is founded on a statute of the State of Georgia, and is brought by the plaintiffs as creditors of the “Northwestern Bank of Geogia,” to enforce against the defendant, as a stockholder of the bank, an alleged liability for the debts of the bank,1 claimed to be imposed upon him by the following section of the act of incorporation:

“ Section 18. And be it further enacted by the authority aforesaid, that no one shall subscribe for, or own or purchase stock in said bank unless he or she be a *396citizen of Georgia, and one-third of said stock shall be subscribed for by citizens of Georgia.…
