The evidence shows that the defendant became a stockholder. He received, in *438consideration of the transfer to the “ Citizens’ Gas Light Company of Long Island City,” of his interest in a franchise for laying down gas pipes in Long Island City, twenty shares of that company’s stock. The shares were duly transferred to him upon the books of the company; he received the certificate of the stock, gave a receipt for it, and still held it when this action was brought.
