MEMORANDUM OPINION AND ORDER

RICHARD J. HOLWELL, District Judge:

In this action, Julio & Sons Company (“Julio”) is suing its insurer to enforce its rights under an insurance agreement (the “Policy”) 1 between the two parties. Under the terms of that policy, the insurer, Travelers Casualty and Surety Company of America (“Travelers”), was to advance defense expenses for certain kinds of legal claims against Julio.
