MEMORANDUM ORDER AND OPINION
RICHARD J. HOLWELL, District Judge.
This is a class action lawsuit for securities fraud under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 (the “1934 Act”) and Securities and Exchange Commission (“SEC”) Rule 10b-5 promulgated thereunder. 15 U.S.C. §§ 78j(b), 78t(a); 17 C.F.R. § 240.10b-5. Lead Plaintiffs (“Plaintiffs”) are one individual and five institutional investors that purchased securities of defendant Elan Corporation PLC (“Elan”) between February 18, 2004 and February 28, 2005 (the “Class Period”).
