I. Issue

This matter is before the Court on Plaintiff and Counterclaim Defendant Berkshire Life Insurance Company of America’s (“Berkshire Life”) Motion for Summary Judgment (ECF DKT 38). For the following reasons, Berkshire Life’s Motion is granted in part and denied in part. The Motion is granted as to the Breach of the Covenant of Good Faith and Fair Dealing counterclaim.
