CUDAHY, Circuit Judge.

The plaintiffs, participants in a Dividend Reinvestment and Stock Purchase Plan (the “Plan”) provided by First Chicago Corporation (“First Chicago”), appeal the dismissal of the three counts of their complaint alleging breach of contract, negligent misrepresentation and violations of the Securities Exchange Act of 1934 (15 U.S.C. § 78j) and of Securities and Exchange Commission (“SEC”) Rule 10b-5 (17 C.F.R. § 240.10b-5). They do not appeal the dismissal of their fourth count, a claim under § 18(a) of the Securities Exchange Act of 1934, alleging loss as a result of…
