Campbell, Circuit Judge:

The appellants, as complainants in the court below, filed a bill in equity against the appellee and others, as respondents, and in this opinion the appellants will be referred to as complainants, and the appellee as respondent.

The bill of complaint alleges, in substance,''that the respondents, B. K. Hanafourde and W. R. Carter, promoted and organized a corporation known as the Jacksonville Driving Club, to which Hanafourde assigned a certain twenty-five year lease on a certain tract of land adjacent to the Fair Ground, which he had secured from the State Fair…
