MEMORANDUM OPINION AND ORDER
CASTILLO, District Judge.
Plaintiff Proin S.A. (“Proin”) sued defendant LaSalle Bank, N.A. (“LaSalle”) alleging breach of contract and violations of the Uniform Commercial Code (“UCC”) arising out of a document collection handled by LaSalle. LaSalle asserted a counterclaim for conversion and Proin responded with a counterclaim alleging additional UCC violations. The parties filed cross-motions for summary judgment on the breach of contract claim.
