I. Procedural History and Facts

These matters are before the Court following an appeal by Amerifirst Bank N.A. (“Amerifirst” or “RTC” 1 ) of this Court’s decision of In re Cardinal Industries, Inc., 118 B.R. 971 (1990). The District Judge remanded these matters to this Court “for reconsideration of its opinion in light of the adopted construction of the Florida statute.” In re Thymewood Apartments, Ltd., 123 B.R. 969, 979 (S.D.Ohio 1991) (“Remanding Opinion”).
