Appeal by the petitioners,' Burton 0. Meighan 'and another, from an order of the Supreme Court, made at the Eew York Special Term and entered in the office of the clerk of the- county of Eew York on the 7th day of June, 1905, denying the petitioners’ application to have the amount of their compensation determined and declared a lien upon a certain fund.

The petitioners are attorneys and counselors at law and as such, brought an action for one Watkins, a stockholder of the American Grass Twine Company, on behalf of himself and all other stockholders similarly situated, against, one Mills, a director of the corporation, the corporation itself being also made a party defendant,, to recover certain dividends alleged to have been wrongfully paid by the directors out of the capital of the corporation.
